PROPERTY DUKE – FRANCHISEE TERMS & CONDITIONS

These Terms & Conditions apply to all Franchisees operating under the Property Duke brand. By becoming a Franchisee or continuing to operate as one, you agree to comply with the obligations, restrictions, and standards outlined below.

1. Exclusivity of Franchise Relationship

All Franchisees of Property Duke must operate exclusively within the Property Duke system. A Franchisee is not permitted to:

  • Work for,
  • Consult with,
  • Be employed by,
  • Own directly or indirectly, or
  • Provide any services to

any other property management, tenant placement, or rental-related business, whether as an employee, contractor, partner, shareholder, silent investor, or advisor.

This exclusive requirement exists to protect the integrity of the Property Duke brand and to ensure consistent service standards across all territories.

2. Strict Prohibition Against Working With Competitors
2.1 Working With Any Other Property Management Company

This includes any direct or indirect relationship, such as:

  • Managing properties for another company
  • Providing freelance or part-time services
  • Sharing resources, systems, or clients
  • Having ownership stakes or investment arrangements
2.2 Engaging in Any Competing Services

The following activities are strictly prohibited outside the Property Duke system:

  • Tenant placement services
  • Rental guarantee services
  • Property management of any kind
  • Leasing or rental marketing services
  • Any consultation related to real estate or rental operations
  • Any services similar to, or competing with, those offered by Property Duke

If Property Duke operates in the service category, Franchisees cannot perform it independently or through any external entity.

3. Automatic Default & Immediate Penalty

If a Franchisee is found to be involved in any competing activity, directly or indirectly:

  • → The Franchisee will automatically be deemed in default of the business agreement.
  • → A penalty fee of $25,000 becomes immediately due and payable.

This penalty reflects the operational, reputational, and financial damages caused by unauthorized competition.

Property Duke reserves the right to pursue additional remedies, including:

  • Termination of the franchise
  • Legal action for damages
  • Enforcement of any applicable non-solicitation or confidentiality provisions
4. Scope of Work Considered a Breach

For absolute clarity, any engagement in the following areas outside Property Duke is prohibited:

  • Tenant placement
  • Rental guarantee
  • Property management services
  • Showing units or screening tenants
  • Collecting rents or coordinating maintenance
  • Working with landlords independently
  • Advising property owners on rental or management strategies
  • Holding ownership in any competing rental/management venture
  • Assisting or operating under another brand

If the activity is something Property Duke does — or may offer — it must only be performed through Property Duke, never independently.

5. Consultation, Advisory & Ownership Restrictions

Franchisees cannot:

  • Provide consulting to landlords or property investors under a separate brand
  • Assist another broker, agent, or company with rental or management services
  • Own, co-own, or invest in a competing business
  • Have family members operate a competing business on their behalf
  • Refer clients to any competing service

Any such involvement is considered indirect competition and is treated as a breach.

6. Commitment to Protecting Brand Integrity

All Franchisees must uphold Property Duke’s:

  • Standards of service
  • Operational procedures
  • Confidential information
  • Trade secrets, marketing systems, and client data

Any misuse, sharing, or unauthorized distribution of Property Duke materials or systems is strictly prohibited and may result in legal action.

7. Acceptance of Terms

By operating as a Franchisee, accessing Property Duke systems, or receiving leads or clients from Property Duke, you acknowledge and agree to these Terms & Conditions.

Property Duke reserves the right to update these Terms & Conditions at any time, with notice posted on this website.
